Terms of Use
Please Read These Terms of Use Before Using the Websites
Acceptance of the Terms of Use
These terms of use are entered into by and between you and the Permission Association (“Association,” “we” or “us”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these “Terms of Use”), govern your access to and use of permissionassociation.org, including any content, functionality and services offered or operated by us, such as the Permission / ASK Bridge (the “ASK Bridge”), on permissionassociation.org and/or any other website, mobile application or online service that includes a link to these Terms of Use (together, the “Websites”).
Please read the Terms of Use carefully before you start to use the Websites. By using the Websites or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use, in addition to:
-
our Privacy Policy, incorporated herein by reference; and
-
our Cookie Policy, incorporated herein by reference.
If you do not agree to these Terms of Use or the Privacy Policy, you must not access or use the Websites.
Who May Use the Websites
The Websites are offered and available to users who are 13 years of age or older. The Websites are not intended for children under 13 years of age. By using the Websites, you represent and warrant that you (i) are 13 years of age or older, (ii) are not barred to use the Websites under any applicable law, and (iii) are using the Websites only for your own personal use. If you do not meet these requirements, you must not access or use the Websites.
Accessing the Websites and Account Security
We reserve the right to withdraw or amend the Websites, and any service or material we provide on the Websites, in our sole discretion without notice. We do not guarantee that our Websites, its content, functionality, and services, will always be available or be interrupted. We will not be liable if for any reason all or any part of the Websites are unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Websites, or the entire Websites, to users.
You are responsible for:
-
Making all arrangements necessary for you to have access to the Websites.
-
Ensuring that all persons who access the Websites through your internet connection are aware of these Terms of Use and comply with them.
To access the Websites or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Websites that all the information you provide on the Websites is correct, current and complete. You agree that all information you provide to register using the Websites or otherwise, including, but not limited to, using any interactive features on the Websites, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
You should use particular caution when inputting personal information onto the Websites on a public or shared computer so that others are not able to view or record your personal information.
Software in the Services
To the extent that we provide you with software as part of the services, we grant you a limited, personal, non-transferable, non-exclusive license to use the software, but solely to the extent necessary for you to use and enjoy the benefit of the services in the manner permitted by these Terms of Use. You may not copy, modify, distribute, sell, or lease any software included as part of the services. All right, title and interest in such software not expressly granted to you in this paragraph are reserved by the Permission Association and its licensors. However, to the extent we license one of our software applications to you pursuant to a separate end user license agreement, the terms of that end user license agreement shall govern over any inconsistent provisions in this paragraph. Some software used in the services may be offered under an open source license, and in such case, there may be provisions in the open source license that expressly override some of the terms of this paragraph.
ASK Bridge
The services may include software that enables holders of ASK tokens (“ASK”) on the Permission Network to bridge their ASK to the Polygon Network (the “ASK Bridge”). The ASK Bridge is a one-way bridge that permanently burns ASK on the Permission Network while minting new ASK tokens on the Polygon Network. This process is not reversible. Moreover, ASK on the Polygon Network may only be minted into the same wallet that burns the corresponding amount of ASK on the Permission Network.
1. Bridging your ASK
By connecting your wallet and acknowledging your acceptance of these terms, you agree to be bound by these Terms of Use. If you are bridging ASK on behalf of an entity (such as your employer), you represent and warrant that you have the authority to bind such entity to these Terms of Use.
The ASK Bridge is available under the following website: https://askbridge.io. By connecting your individual wallet address with the ASK Bridge, you will be able to bridge your ASK on the Permission Network to ASK on the Polygon Network.
You acknowledge and agree that you have to bridge your ASK yourself, which is subject to gas fees payable in both ASK (Native token of the Permission Network) and MATIC (Native token of the Polygon Network). The gas fees for burning your ASK on the Permission Network shall be payable in ASK and shall be borne by you. The gas fees for minting your ASK on the Polygon Network shall be payable in MATIC and shall be borne by the Association. Again, ASK on the Polygon Network may only be minted into the same wallet that burns the corresponding amount of ASK on the Permission Network.
You are responsible for your own technical connection and technical problems (connection error, computer crash or similar). Please email the Association at support@permissionassociation.org for those who have technical problems or questions while bridging ASK.
2. Representations and Warranties
You hereby represent and warrant to the Association that:
a. you will cooperate in good faith with the Association while bridging your ASK;
b. you are familiar with and aware of the need to use the Polygon Blockchain;
c. you represent that your wallet address is able to receive ASK (on the Polygon Network);
d. you acknowledge that you cannot bridge your ASK (on the Polygon Network) back to ASK (on the Permission Network);
e. you acknowledge and agree that you have to bridge the ASK yourself;
f. you have sufficient ASK in order to cover the customary gas fee of the Permission Network, which is payable in ASK in order to bridge the tokens as set above;
g. neither you nor, if applicable, any of your affiliates or direct or indirect beneficial owners are listed or associated with any person or entity being listed on the Swiss SECO’s Overall List of Sanctioned Individuals, Entities and Organizations, or any of the US Department of Commerce’s Denied Persons or Entity List, the US Department of Treasury’s Specially Designated Nationals or Blocked Persons Lists, the US Department of State’s Debarred Parties List or the EU Consolidated List of Persons, Groups and Entities Subject to EU Financial Sanctions;
h. neither you nor, if applicable, any of your affiliates or direct or indirect beneficial owners are currently, and have not been, involved in any type of activity associated with money laundering, terror financing, or any other applicable anti-corruption or anti bribery legislation, nor were ever subject, to any investigation by, or have received a request for information from any governmental body relating to corruption or bribery. You represent that neither you nor any person or entity directly or indirectly controlling, controlled by or under common control of such entity, is a person identified as a terrorist or is classified as a terrorist organization on any relevant lists maintained by governmental authorities;
i. you confirm that the Association is allowed to run any checks or enquiries with third parties, and you waive any privacy or other right in connection therewith. You explicitly consent that the Association is allowed to process your personal data in that regard; and
j. You acknowledge and agree that by minting the ASK on the Polygon Network to your wallet address, the Association has fulfilled its obligations.
3. Acknowledgment and Assumption of Risks
You acknowledge and agree that there are risks associated with bridging ASK, holding ASK, and using ASK, including, without limitation, the following:
a. Risk of software weaknesses: You understand and accept that the ASK Bridge and other involved software and technology and technical concepts and theories are still in an early development stage and unproven, and there is no warranty that the process for receiving, using, and the owning of ASK will be uninterrupted or error-free and that there is an inherent risk that the software and related technologies and theories could contain weaknesses, vulnerabilities or bugs causing, inter alia, the complete loss of ASK Tokens. You understand and accept that the software and hardware, technology and technical concepts and theories applicable to ASK (as well as virtual currency tokens in general) are still in an early development stage and unproven, that there is no warranty that the technology will be uninterrupted or error-free, and that there is an inherent risk that the technology could contain weaknesses, vulnerabilities or bugs causing, inter alia, the complete loss of ASK Tokens;
b. Regulatory risk: you understand and accept that blockchain technology allows new forms of interaction and that it is possible that certain jurisdictions will apply existing regulations on, or introduce new regulations addressing, blockchain technology-based applications, which may be contrary to the current setup and which may, inter alia, result in substantial modifications of the ASK Bridge, including its termination, the loss of all ASK and the value thereof for you. Further, you acknowledge that you accept and bear all risks with respect to securities, anti-money laundering, commodities and other regulations that may regulate the Association and/or ASK;
c. Risk of legal qualification: you understand and accept that the legal structure of tokens is relatively new, and no relevant prejudices are available. Therefore, the risk remains that a court may come to the conclusion that the underlying rights cannot be transferred validly by transfer of ASK alone;
d. Third party risks: the Association might use third parties as service providers for certain aspects of the ASK Bridge. The Association has no visibility into, or possibility to control, the software or mechanisms used by such third party, and cannot verify or guarantee the proper functionality of the third party software or operations;
e. Risk of theft and attacks: you understand and accept that the underlying software application and software platform of virtual tokens (including, the Permission Platform), the internet, any blockchain network, and other involved software, technology components, decentralized applications and/or platforms concerned with ASK may be exposed to attacks by hackers or other individuals that could result in theft or loss of ASK Tokens;
f. Risk of blockchain mining attacks: you understand and accept that, as with other public blockchain-based systems that depend upon independent miners, the Platform may be susceptible to mining attacks including but not limited to double-spend attacks, majority mining power attacks, “selfish-mining” attacks, and race condition attacks plus any number of as-yet unknown attack vectors on the unique technologies and mechanisms of the Platform. Any successful attacks present a risk to the Platform, expected proper execution and sequencing of Token transactions, and expected proper execution and sequencing of software computations;
g. Risk of market decline: the growth of the blockchain industry is in general subject to a high degree of uncertainty;
h. Volatility risks: the prices of blockchain assets such as Bitcoin and Ethereum have historically been subject to dramatic fluctuations and are highly volatile, and the market price of ASK may also be highly volatile. In addition, a decrease in the price of a single blockchain asset may cause volatility in the entire blockchain asset industry and may affect other blockchain assets including ASK;
i. Risk of insufficient token liquidity / loss of value: you understand that regarding ASK Tokens, no access to exchanges or market liquidity may be guaranteed and that the value (if any) of ASK over time may experience extreme volatility or depreciate resulting in loss that will be borne exclusively by you;
j. Risk of uncertain tax treatment: the tax treatment of acquiring, claiming, holding and where permitted, selling, exchanging or otherwise disposing of ASK, is uncertain, and you must seek your own tax advice in the country where you pay tax. Acquiring, bridging, holding and where permitted, selling, exchanging or otherwise disposing of ASK may result in adverse tax consequences to you, including liability for income taxes and responsibility for complying with certain tax reporting requirements. You should consult with and must rely upon the advice of your own tax advisors; and
k. Risk of loss of private key: ASK can only be accessed by using a combination of your information (your wallet address and private key). You understand and accept that if your private key file or password of your wallet address are lost or stolen, the allocated ASK associated with your wallet address would be unrecoverable and would be permanently lost. The Association has no control over ASK; therefore, you shall have no recourse to seek any refunds, recovery or replacements from the Association in the event of your losing possession of your wallet address through a loss, mismanagement or theft of access keys and/or passwords.
4. Disclaimer
You assume full responsibility and liability for any losses resulting from (i) any intentional or unintentional misuse of your wallet address including, without limitation, any loss resulting from designating a wallet that is non-compliant with the Polygon Network for the receipt of the bridged ASK, or depositing one type of digital asset to a wallet intended for another type of digital asset, (ii) any intentional or unintentional loss of your wallet address private key, and (iii) any intentional or unintentional sharing of your wallet address and private key with anyone else. The Association assumes no responsibility or liability in connection with any such misuse.
